Terms of Service (User Agreement)

1. The Service

Please read these Terms of Use ("Terms") carefully before using the OfficeTidy mobile application ("the App" or "the Service"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by them.

OfficeTidy is a job-management application designed to help businesses schedule jobs, manage teams, track finances, and handle health and safety documentation. The Service includes data storage and synchronisation provided through trusted third-party cloud services such as Google Firebase.

Tax Compliance & Accuracy OfficeTidy Ltd is a software provider and is not a registered tax agent, accountant, or financial advisor. The Service is designed to assist you with record-keeping and filing, but it does not constitute professional tax advice.

You are solely responsible for:

• Ensuring the accuracy of all data entered into the App;
• Verifying the final tax figures before submission to Inland Revenue; and
• Meeting all your tax obligations and deadlines.

OfficeTidy Ltd accepts no liability for any penalties, interest, or errors resulting from incorrect data entry, late filing, or misinterpretation of tax laws.

2. User Accounts

When you create an account, you confirm that you are 18 years or older and that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account and password and accept full responsibility for all activities under your account.

3. User-Generated Content

Our Service allows you to post, link, store, share, and otherwise make available text, images, or other material ("Content"). You are responsible for ensuring that your Content is lawful and appropriate. By posting, you confirm that:

• The Content is yours or you have the right to use it; and
• Your use of it does not violate anyone's rights.

You retain full ownership of your Content and are responsible for protecting those rights. We take no responsibility and assume no liability for any Content you or others post.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose;
• Upload harmful, obscene, or infringing data;
• Attempt to reverse-engineer or access the source code;
• Overload, disable, or impair the Service; or
• Use another user's account without permission.

5. Subscriptions and Payments

Certain features may require a paid subscription billed on a recurring basis (weekly, monthly, or annually). Subscriptions renew automatically unless cancelled. You can cancel renewal at any time through your account settings or by contacting support. Refunds will be handled in accordance with applicable New Zealand law.

6. Intellectual Property

All software, branding, and design remain the property of OfficeTidy Ltd or its licensors. All user-generated data remains your property. You grant OfficeTidy Ltd a limited licence to store and process that data solely to provide and improve the Service.

7. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend or discontinue the Service temporarily for maintenance or updates without prior notice.

8. Limitation of Liability

To the fullest extent permitted by law, OfficeTidy Ltd shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities) arising from your use of the Service.

In any event, OfficeTidy Ltd’s total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us for the Service in the 12 months prior to the claim.

Business Use & Consumer Guarantees Act You agree that you are acquiring the Service for the purposes of a business and that the provisions of the Consumer Guarantees Act 1993 and sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 do not apply to the supply of the Service to you.

9. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

12. Indemnification

You agree to defend, indemnify, and hold harmless OfficeTidy Ltd from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service;
• Your violation of any term of these Terms; or
• Your violation of any law or the rights of a third party (including Inland Revenue regulations).
